Die Gestaltungsfreiheit des Steuerpflichtigen steht in einem Spannungsverhältnis zu einer effektiven Missbrauchsbekämpfung durch den Gesetzgeber. Besonders ausgeprägt ist dieses im Bereich der steuerlichen Verlustnutzung. Dabei gerät die verfassungsrechtliche Verankerung der Verlustnutzung zunehmend aus dem Blick. Am Beispiel des § 2 Abs. 4 UmwStG untersucht die Arbeit die verfassungsrechtlichen Grenzen von Verlustverrechnungsbeschränkungen. Es wird die enge Verknüpfung zu § 8c KStG herausgearbeitet und die Vorschrift vor dem Hintergrund der europäischen Missbrauchskonzeption beleuchtet. Die gewonnenen Ergebnisse münden in einen Vorschlag für eine Neufassung des § 2 Abs. 4 UmwStG, der nationalen und europäischen Vorgaben Rechnung trägt.
Die Dissertation untersucht die Entwicklung des Verantwortungseigentums insbesondere anhand der Carl-Zeiss-Stiftung unter Ernst Abbe.
Der Begriff des Verantwortungseigentums wird seit einigen Jahren in der rechtspolitischen Debatte zu alternativen Unternehmens- und Eigentumsformen diskutiert. Dabei wird die Einführung einer eigenen Gesellschaftsform gefordert.
Die Dissertation widmet sich diesen Forderungen und den Entwicklungen des Verantwortungseigentums anhand der Carl-Zeiss-Stiftung und ihrer Stiftungsbetriebe Zeiss und Schott.
Dort wurde bereits Ende des 19. Jahrhunderts eine Form dessen, was Jurist:innen heute unter Verantwortungseigentum verstehen, kautelar-juristisch eingeführt und geprägt.
Ziel und Zweck der Arbeit war es, die Überschneidungen, Parallelen und Unterschiede der Rechtssubjekte zu untersuchen und der Frage auf den Grund zu gehen, ob das Verantwortungseigentum einer längeren Rechtstradition folgt oder eine rein zeitgenössische Idee ist.
Immer wieder gelingt es Konzernen durch geschickte gesellschaftsrechtliche Konstrukte, ihre Verantwortlichkeit für wettbewerbsrechtliche Verstöße auszugliedern oder sich dieser gänzlich zu entziehen.
Dem begegnet das Europäische Wettbewerbsrecht in Bußgeldverfahren seit einiger Zeit mit der Zusammenfassung rechtlich selbständiger Gesellschaften zu einem Unternehmen als »wirtschaftliche Einheit«.
Diese Untersuchung widmet sich der methodischen Grundlegung dieses wettbewerbsrechtlichen Unternehmensbegriffs. Sie geht zudem der Frage nach, ob er sich auf das Deutsche Wettbewerbsrecht, insbesondere auf kartellrechtliche Schadensersatzklagen übertragen lässt.
