Digitale Plattformen prägen unsere Rechts- und Wirtschaftsordnung, die Freizeitgestaltung, das Informationsverhalten und im Aggregat die digitale Öffentlichkeit. Die damit verbundenen Rechtsfragen sind im Fluss und berühren alle juristischen Teildisziplinen. Der Tagungsband nähert sich daher den Entwicklungen des Plattformrechts aus disziplinübergreifendem Blickwinkel. Dieser Versuch einer überspannenden Perspektive fokussiert vor allem auf die beiden „Großen“ der jüngsten Rechtsakte (DSA/DMA) unter dem besonderen Gesichtspunkt ihres Vollzugs: Wie kann man ein globales Phänomen wie Plattformen lokal und regional regulieren? Das Ertragsteuerrecht lässt ausdrückliche Regelungen vermissen, welche steuerlichen Folgen sich ergeben, wenn ein ertragsteuerrelevanter Sachverhalt später wieder rückgängig gemacht wird. Es bleibt deshalb den Rechtsanwendern überlassen, die Fragen über die steuerliche Behandlung von Rückgängigmachungen zu beantworten. Dabei werden die von der Rechtsprechung gefundenen Lösungen in der Literatur immer wieder kritisiert.
Die Arbeit untersucht, ob und inwieweit die Kritik an der Rechtsprechung der Finanzgerichte in Zusammenhang mit Rückabwicklungen, als besondere Form der Rückgängigmachung, berechtigt ist. Dazu wird zunächst dargestellt, unter welchen Voraussetzungen die Rückabwicklung eines ertragsteuerrelevanten Vorgangs vorliegt und welche steuerliche Folgen ebenjene auslöst. Die Arbeit schließt mit der Forderung nach einer „korrespondierenden Besteuerung“ von Rückabwicklungen und der damit verbundenen teilweisen Abkehr von der derzeitigen Rechtsprechung der Finanzgerichte.

Das Handelsrecht ist das Sonderprivatrecht der Kaufleute. Zahlreiche Regelungen des Handelsgesetzbuches ergänzen Vorschriften des bürgerlichen Rechts. So kennt das Handelsrecht besondere Vertretungsformen wie die Prokura, begründet bestimmte Rügeobliegenheiten oder erfasst Rechtsscheintatbestände. Insbesondere diese Verknüpfungen führen immer wieder zu Schwierigkeiten in Prüfungen.
